Mr. Gimelshtein played a key role in Birch Hill’s investments in companies such as Softchoice, Shred-it, DHX Media (formerly Cookie Jar Entertainment), Carmanah Design and Manufacturing, and Mastermind Toys. Prior to joining Birch Hill, Mr. Gimelshtein worked in San Francisco and New York for Union Square Advisors as an investment banker focused on the technology sector. Angelo Fefekos

Vice President - Clinical Affairs and Quality Compliance

Mr. Angelo Fefekos serves as Vice President - Clinical Affairs and Quality Compliance of the Company. He is responsible for the development, implementation and oversight of the Company’s quality assurance and control systems and processes, regulatory compliance, as well as the development and design of new cannabis products. Mr. Fefekos also oversees the design and management of clinical trials, which meet standards of excellence for ethics, scientific merit and regulatory compliance. Mr. Fefekos brings over a decade of healthcare experience in quality assurance, laboratory technology and clinical management skills to the Company. Prior to joining MedReleaf, Mr. Fefekos managed a team of 40 scientific staff in the Division of Diagnostic Medical Genetics at Mount Sinai Hospital in Toronto. In this role, he was responsible for all aspects of the division’s diagnostic operations. While at Mount Sinai, Mr. Fefekos also managed Allograft Technologies, one of Canada’s largest tissue banks, and was responsible for the redesign and implementation of protocols related to the recovery, processing, distribution, sterility assurance and post-market surveillance activities of transplanted human tissues. Throughout Mr. Fefeko’s career, he has developed and implemented standardized workflow processes designed to increase patient safety. Mr. Fefekos has extensive knowledge and experience with accreditation and regulatory requirements in the production of health products, medical laboratory testing and health services. Mr. Fefekos is a member of the College of Medical Laboratory Technologists of Ontario and holds an MBA from Athabasca University.

Mr. Darren Karasiuk serves as Vice President - Strategy of the Company. Mr. Karasiuk brings over 15 years of insight generation, marketing strategy and public affairs experience to his role. Prior to joining MedReleaf, Mr. Karasiuk was Vice-President, Insights and Advisory at Deloitte where he was a leader in the firm’s cannabis practice, co-authoring the Deloitte Survey, a comprehensive study on the Canadian recreational cannabis marketplace. Previously, Mr. Karasiuk was Vice-President, Strategy, Corporate and Public Affairs at Environics Research, where he conducted many of Canada’s earliest studies on pharmacist and physician perceptions of medical cannabis. He has also been the Canadian associate for the Marijuana Policy Group, a leading Denver-based economic and policy consulting firm specializing in helping to shape regulated medical and recreational cannabis markets. Mr. Karasiuk’s advisory experience has focused largely on the integration of consumer and marketplace data, financial modeling, corporate strategy and behavioural science, with a view to uncovering drivers of consumer behaviour and uncovering hidden market segments, as well as informing price, brand, product portfolio, communications and public affairs strategies. For purposes of this Acceptable Use Policy ("AUP"), a "Customer" is defined to include any organization, individual, company or other entity with which MarijuanaSX Bonds Ltd (MarijuanaSX) has entered into any agreement or contract for the supply of services, including through the MarijuanaSX website. A Customer shall also be responsible for the use of the MarijuanaSX website by any subsidiaries, affiliates, partners, Authorized Staff, suppliers, clients, or any other person gaining access to the MarijuanaSX website in any manner whatsoever, that directly or indirectly utilize the MarijuanaSX website provided to the Customer.

The Customer may only use the MarijuanaSX website for lawful purposes. The use of the MarijuanaSX website in violation of any local or international legislation or regulation is prohibited. This includes, but is not limited to, transmission of proprietary or copyright material without the consent of the owner, material legally judged to be threatening, offensive, or obscene, and third party material protected by patent, trade secret or any other type of intellectual property right, whether or not the Customer was aware of the content of the material or of the relevant law.

MarijuanaSX will fully co-operate with investigations of suspected criminal violations and violations of systems or network security under the leadership of law enforcement authorities.

Use of any information obtained via the MarijuanaSX website is at Customers' own risk. MarijuanaSX is not responsible for the accuracy, quality, or content of information obtained through the MarijuanaSX website and or services.

All MarijuanaSX services are for end-user use only and may not be resold to third-parties without providing end-user information to MarijuanaSX.

The Customer will indemnify and hold MarijuanaSX harmless from any claim brought by third parties alleging that use of the MarijuanaSX website by the Customer has infringed any applicable local or international legislation or regulation. The Customer shall defend and pay all costs, damages, awards, fees (including reasonable legal fees) and final judgments awarded against MarijuanaSX arising from such claims. The Customer shall immediately give MarijuanaSX written notice of any claim the Customer is involved with or aware of. Should the Customer fail to do so, MarijuanaSX may defend such claims at the Customer's sole cost.

MarijuanaSX will cooperate with any law enforcement authorities having jurisdiction to discourage and resist abuses of acceptable use policies. MarijuanaSX reserves the right to take corrective action upon notification to MarijuanaSX of unacceptable use by the Customer. MarijuanaSX reserves the right, at its discretion and without notice, to remove any material or data and to block the use of the network for one or more users.

The Customer may not circumvent user authentication or security of any host, network, or account (referred to as "cracking" or "hacking"), reverse engineer, decompile, deconstruct any programming, nor interfere with service to any user, host, or network (referred to as "denial of service attacks").

The Customer is forbidden to send e-mail to any person who does not wish to receive it. It is explicitly prohibited to send unsolicited bulk mail messages ("junk mail" or "spam") of any kind (commercial advertising, financial and investment promotions, political tracts, announcements, etc.) or to post the same or similar messages to large numbers of newsgroups (excessive cross-posting or multiple-posting, also known as "USENET spam"). A Customer caught spamming on the MarijuanaSX, or who persist in the mass distribution of unsolicited e-mail messages, will be dealt with immediately in accordance with this AUP.

The MarijuanaSX website may be used by the Customer to link into other networks worldwide and the Customer agrees to conform to the acceptable use policies of these networks. The Customer agrees, through its own operations, not to cause disturbances, outages or other problems which may affect MarijuanaSX's network or network based equipment, or which may adversely affect MarijuanaSX's ability to provide services.

MarijuanaSX reserves the right to prohibit activities that violate this AUP or may damage its reputation.

MarijuanaSX will generally not monitor private electronic mail messages sent or received by its Customers but may conduct reasonable investigation of a Customer (i) if required by law or (ii) upon reasonable suspicion of a violation of this AUP to determine if there has been a violation or (iii) when public safety may require it. MarijuanaSX may at all time monitor usage of the MarijuanaSX website electronically to determine if it is operating satisfactorily.

MarijuanaSX may disclose its Customers' information or information transmitted by means of its facilities (i) to comply with legal requirements or (ii) where necessary to protect MarijuanaSX and others from harm or (iii) where such disclosure is necessary to the proper operation of the MarijuanaSX website.

The Customer acknowledges that MarijuanaSX is unable to exercise control over the content of information passing through its facilities or carried as a result of supplying the MarijuanaSX website and is therefore not responsible for that content.

MarijuanaSX reserves the right, at its discretion and without notice, to automatically filter, disconnect and/or deny access to any Customer who violates this policy. This remedy shall also be applied when the Customer has engaged in any of the foregoing activities by using the service of another provider and, channelling such activities through an MarijuanaSX account, re-mailer, or otherwise through the MarijuanaSX website, or using an MarijuanaSX account as a mail drop for responses or otherwise using the services of another provider for the purpose of facilitating the foregoing activities, if such use of another party's service could reasonably be expected to adversely affect the MarijuanaSX website. MarijuanaSX reserves the right, where feasible, to implement technical mechanisms which block multiple postings as described above before they are forwarded or otherwise sent to their intended recipients.

Violation of this AUP (direct or indirect, including by a third party) entitles MarijuanaSX to remove immediately the offending material, establish immediate or temporary filtering, deny access, suspend or terminate one or more subscriptions to the MarijuanaSX website, or take any other appropriate action, as determined by MarijuanaSX in its sole discretion, in addition to any remedies provided by any agreement to provide access to the MarijuanaSX website. MarijuanaSX may give notice of violations but MarijuanaSX reserves the right to act without notice when necessary, as determined by MarijuanaSX in its sole discretion. Nothing in this AUP is to be construed to limit MarijuanaSX's actions or remedies in any way with respect to any of the foregoing activities, and MarijuanaSX reserves the right to take any additional actions it may deem appropriate with respect to such activities, including without limitation, taking action to recover the cost of identifying offenders and terminating their access to the MarijuanaSX website, and charging to cover MarijuanaSX's costs in the event of such termination of access or like situation. MarijuanaSX may co-operate with other service providers to discourage and resist abuses of acceptable use policies. MarijuanaSX reserves the right to take corrective action upon notification to MarijuanaSX of unacceptable use on other networks. The MarijuanaSX website may be linked to other networks world-wide and the Customer agrees to conform to the acceptable use policies of these networks. The Customer agrees, through its operations, not to cause disturbances, outages or other problems which may affect MarijuanaSX's or any other network or network based equipment, or which may adversely affect MarijuanaSX's ability to provide access to the MarijuanaSX website.

Nothing contained in this AUP shall be construed to limit MarijuanaSX's actions or remedies in any way with respect to any of the foregoing activities, and MarijuanaSX reserves the right to take any and all additional actions it may deem appropriate with respect to such activities, including without limitation, taking action to recover the costs and expenses of identifying offenders and removing them from the MarijuanaSX website, and levying cancellation charges to cover MarijuanaSX's costs in the event of disconnection of dedicated access for the causes outlined above. In addition, MarijuanaSX reserves at all times all rights and remedies available to it with respect to such activities at law or in equity.

Customer will indemnify and hold MarijuanaSX harmless from any claim brought by third parties relating to the Customer's use of the MarijuanaSX website. The Customer must defend and pay all damages and costs (including legal fees) arising from such claims. The Customer must immediately notify MarijuanaSX of any claim or potential claim, within the Customer's knowledge, involving the Customer related to the MarijuanaSX website. Failure to do so gives MarijuanaSX the right to defend such claims at Customer's sole cost and expense.

MarijuanaSX is committed to providing quality service to all of its Customers. While the AUP may appear harsh, MarijuanaSX believes it is necessary to ensure that it is able to provide professional, efficient, stable service within an environment of security and trust which its Customers may require and come to expect from an organization such as MarijuanaSX.

MarijuanaSX - Regulated Disclaimer

MarijuanaSX (“MSX”) allows securities to be listed via The Startup Stock Exchange ("SSX”), under a Joint Venture Agreement (“JV”) between the parties. SSX provides securities exchange related services, such as Brokerage and Listing Advisory, enabling the owners of startups and small businesses to attract qualified global investors to buy shares of their companies on a public stock exchange, the Dutch Caribbean Securities Exchange N.V. ("DCSX"), thereby providing access to a regulated and transparent marketplace for all participants.

SSX Advisors Corp is a licensed Listing Advisor and SSX Brokers NV is a licensed broker, of the Dutch Caribbean Securities Exchange N.V. The DCSX is a self-regulating securities exchange, located on Curacao, licensed by the Ministry of Finance and supervised by the Central Bank of Curacao and St. Maarten.

In some cases the quoted companies may be listed on another recognised stock exchanges globally and in this case it will be made apparent.

MSX hosts companies conducting an IPO and also shows companies under review. We have no restrictions on contacting these companies as a result of information found on our site and in such a case no liability for any resulting transaction will be the responsibility of MSX.

MSX has acquired IP to internally conduct AML (Anti Money Laundering) and KYC (Know Your Client) procedures fully vetted and approved by our regulating Central Bank. This activity must be overseen and approved in each case by an authorised AML officer.

HempSX Limited t/a MarijuanaSX is a UK registered Limited Liability company. It does not have any regulation inside the UK as it provides services outside the Financial Services Act. MSX is a FinTech solution for a sector based Stock Exchange regulated by its partners via the DCSX. The MSX platform is a fully automated trading system complete with company on-boarding systems, electronic trade matching, clearance and settlement as well as Investor and researcher portals.

MSX collects huge quantities of raw and unique data within the medical marijuana sector. It uses this inside smart algorithms to provide key and vital data to all parties in a fully transparent structure. All data is obtained from reliable and independent sources.

All trading conducted on MSX will be via SSX Brokers NV. A brokerage account with SSX is required in order to trade. Applications to open accounts will be available in Q4 2017.
