Wayne Harding

Mr. Wayne E. Harding III., CPA, is Chief Executive Officer, Secretary, Director of the Company. He served as our Chief Financial Officer and Secretary from September 2009 to present. In June 2016 the Board appointed Mr. Harding as the Company’s CEO. He also served as our controller from July 2008 to September 2009. From 2004 to 2007 he served as vice president business development of Rivet Software, Inc., a financial reporting software company; from 2002 to 2004, principal of Wayne Harding and Company PC, a financial consulting firm; and from 2000 to 2002, director-business development of CPA2Biz, Inc., a multi-channel marketing subsidiary of the American Institute of Certified Public Accountants. Mr. Harding has served as a director and chair of the audit committee of Aerogrow International, Inc., a publicly traded provider of advanced indoor garden systems, since December 2011, and he previously served as a director and chair of the governance, compensation and nominating committee and the audit committee of Aerogrow from 2005 to 2007. Mr. Harding is a licensed CPA in Colorado and holds the Charter Global Management Accountant designation. He received his BS and MBA degrees from the University of Denver. He is a past president of the Colorado Society of CPAs. Mr. Harding is 61 years old.

Mr. William M. Gregorak is Chief Financial Officer of the Company. Mr. Gregorak brings a strong background in public company financial reporting, internal controls as well as mergers and acquisitions, to Two Rivers. Prior to joining Two Rivers, Mr. Gregorak served as CFO at Ascent Solar Technologies, a NASDAQ listed manufacturer and marketer of flexible, thin-film photovoltaic (PV) modules for off-grid and specialty applications, from 2013-2015. Before Ascent Solar, Mr. Gregorak was CFO of Thule Organization Solutions, a consumer products manufacturer of personal electronics cases sold under both the Case Logic® and Thule brands®, from 2008-2013; overseeing organizations in the United States, Europe and Hong Kong. Before Thule, Mr. Gregorak was the Vice President and corporate controller for Advanced Energy and Xilinx Corporations, both of which currently trade on the NASDAQ. Advanced Energy is a manufacturer of semiconductor equipment with operations in both the United States and China, while Xilinx is a manufacturer of semiconductors with operations spanning the United States, Ireland and Singapore. Prior to 2000, Mr. Gregorak spent 17 years with Hewlett-Packard in various financial and operational capacities. Mr. Gregorak holds a Bachelor’s degree in Economics from the University of Washington.

Christopher Bragg

Mr. Chris Bragg serves as Director of the Company. Mr. Bragg has nearly fifteen years of experience in the financial industry. After spending the first two years of his career in the private banking business, Mr. Bragg joined Western Asset Management as a Portfolio Controller. He quickly transitioned over to the mutual fund operations group, where he supported the rollout and growth of the newly formed Legg Mason and Western Asset managed mutual funds; the company had over $400 billion in assets under management at the time. In 2007, Mr. Bragg transitioned over to the public equities side of the business and joined Camden Asset Management as a Controller and Trade Support Specialist. He worked directly with the trading desk in the development and support of their Convertible Arbitrage strategic side of the business. During his 5+ years with the company, Mr. Bragg played a crucial role in a restructure of the operational/back office division, the buildout of a proprietary in-house trading system, and assisted in the maintenance of the ever changing compliance requirements for the $2 billion under management. He then spent just over a year with Empire Capital Management; a technology focused hedge fund with $800 million under management across several funds. In his time as a trading specialist and west coast operations manager, he assisted in the growth of the newly built west coast office and implemented a multi-faceted trading platform that allowed traders on both coasts to input, execute and allocate orders across the several fund accounts. In mid-2014, Mr. Bragg left Empire Capital Management to join the McGrain Financial group as a partner in the overseeing of over $70 million in assets under management.

Mr. Michael Harnish CPA is Director of the Company. He continues to serve as technology consultant to the Examination Review Board responsible for the administration and content of the CPA exam since 1999. He is also currently serving on the Board of Directors of Alliance Sports Group where he is chairman of the compensation committee as well as a member of the audit and special committees. Mr. Harnish previously served on the Board of Directors of Delta Hawk Engines where he was chairman of the audit committee. Prior to retirement, Mr. Harnish held the offices of COO/CIO of Ethics Point, Inc.,Fios, Inc., CPA2BIZ, and the law firm of Dickinson Wright PLLC. He has also served as President and CEO of Technology Consulting Partners LLC and was a former Associate, Technology Consulting Solutions at Plante& Moran. Mr. Harnish is a former Partner of Crowe, Chizek and Company CPAs (now Crowe Horwath LLP). Additionally, Mr. Harnish previously held the office of Director of Consulting Services, Lotus Development Corp. and has been a member of Various AICPA Committees including the Computerization Implementation Committee (CIC) and the first Chairman of the Information Technology Executive Committee and Membership Division. Mr. Harnish is a former member of the Illinois CPA Society Board of Directors and recipient of the AICPA Innovative User of Technology and the AICPA Sustained Contribution Awards. Mr. Harnish received his B.S. in Industrial Management with a Computer Science Technical Option from Purdue University and has received the certifications of: Certified Public Accountant (CPA); Certified Information Technology Professional (CITP); Certified in Financial Forensics (CFF); Certified Information Systems Auditor (CISA); EnCase Certified Examiner (EnCE); and the Certificate in Data Processing (CDP).

Mr. Samuel W. Morris Jr.is Director of the Company. He served as one of our directors on an interim basis since July 2016. Mr. Morris is the principal of Morris Law Associates which he formed in 2006 after serving as general counsel to several companies. Through Morris Law, he has provided counsel on a variety of legal matters, such as acquisitions, management buyouts, restructurings and personnel matters. From 2006 until 2010, he also was General Counsel for Gichner Shelter Systems, Inc. Prior to Morris Law Associates, Mr. Morris was General Counsel of Wire One Communications, Inc. (formerly V-SPAN), a full-service video conferencing company, as well as to a number of smaller companies, handling customer and vendor contracts, employment matters, acquisitions and litigation from 2002 to 2005. In 2000-2001, he was Senior Vice President, General Counsel and Secretary of Digital Access, LLC, a telecommunications broadband start-up. From 1993 to 2000, Mr. Morris was Vice President/General Counsel/Secretary for Lenfest Communications, Inc., a public diversified cable television and entertainment company. From 1985 to 1993, Mr. Morris was a Senior Partner of Hoyle, Morris & Kerr, a law firm that he co-founded. Prior to that Mr. Morris was in private practice, primarily as a partner in the law firm of Dilworth, Paxson, Kalish and Kaufman. Mr. Stroh is also an instructor for the Trinidad State Junior College. He teaches real estate courses including water law, broker courses, and mandatory fair housing courses. He is also Chairperson of the Sangre de Cristo Habitat Partnership Program Committee.

  1. ACCEPTANCE OF TERMS

Welcome to the HempSX Limited t/a MarijuanaSX website (“MarijuanaSX”). The user of the MarijuanaSX website agrees that MarijuanaSX, in its sole discretion, may terminate the password, account (or any part thereof) of the user of the MarijuanaSX website or the use of the Service, and remove and discard any Content within the Service, for any reason, including, without limitation, for lack of use or if MarijuanaSX believes that the user of the MarijuanaSX website has violated or acted inconsistently with the letter or spirit of the TOS or the MarijuanaSX Acceptable Use Policy. MarijuanaSX may also in its sole discretion and at any time discontinue providing the Service, or any part thereof, with or without notice. The user of the MarijuanaSX website agrees that any termination of the user's access to the Service under any provision of this TOS may be effected without prior notice, and acknowledges and agrees that MarijuanaSX may immediately deactivate or delete the user's account and all related information and files in the user's account and/or bar any further access to such files or the Service. Further, the user of the MarijuanaSX website agrees that MarijuanaSX shall not be liable to the user of the MarijuanaSX website or any third-party for any termination of its access to the Service.

The user of the MarijuanaSX website acknowledges and agrees that the Service and any necessary software used in connection with the Service ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws.   7. The user of the MarijuanaSX accepts total responsibility for any agreement, understanding or relationship the user of the MarijuanaSX enters into with any of the Contributors. Further, the user of the MarijuanaSX understands, acknowledges and agrees that MarijuanaSX, in no manner whatsoever, endorses the said Contributors or whatever proposal may be presented by such Contributors and that MarijuanaSX shall not be held liable for any claims of any nature whatsoever arising or resulting from any thesis or proposal of any of the Contributors, or from any agreement, understanding, association, investment or relationship concluded, agreed, made or established between the user of the MarijuanaSX and any of the Contributors, of any type and for any reason whatsoever.
  8. The user of the MarijuanaSX hereby confirms that it qualifies as a sophisticated, accredited or professional investor", pursuant to all applicable legislation relating to the distribution and/or sale of securities.

Without MarijuanaSX's prior permission, the user of the MarijuanaSX website agrees not to display or use in any manner, the MarijuanaSX Marks.

  1. GENERAL INFORMATION

The TOS constitute the entire agreement between the user of the MarijuanaSX website and MarijuanaSX and govern the use of the Service by the user of the MarijuanaSX website, superseding any prior agreements between the user of the MarijuanaSX website and MarijuanaSX. The user of the MarijuanaSX website also may be subject to additional Terms and Conditions that may apply when the user of the MarijuanaSX website uses affiliate services, third-party content or third-party software. The TOS and the relationship between the user of the MarijuanaSX website and MarijuanaSX shall be governed by the laws in force in the United Kingdom, without regard to its conflict of law provisions. The user of the MarijuanaSX website and MarijuanaSX agree to submit to the personal and exclusive jurisdiction of the courts located within the country of Great Britain. The failure of MarijuanaSX to exercise or enforce any right or provision of the TOS, the MarijuanaSX subscription documentation Terms and Conditions or the MarijuanaSX Acceptable Use Policy shall not constitute a waiver of such right or provision. If any provision of the TOS, the MarijuanaSX subscription documentation Terms and Conditions or the MarijuanaSX Acceptable Use Policy is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision, and the other provisions of the TOS, the MarijuanaSX subscription documentation Terms and Conditions and the MarijuanaSX Acceptable Use Policy remain in full force and effect. The user of the MarijuanaSX website agrees that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the TOS, the MarijuanaSX subscription documentation Terms and Conditions and the MarijuanaSX Acceptable Use Policy must be filed within one (1) year after such claim or cause of action arose or be forever barred. The section titles in the TOS are for convenience only and have no legal or contractual effect.

  1. ACCEPTABLE USE

For purposes of this Acceptable Use Policy ("AUP"), a "Customer" is defined to include any organization, individual, company or other entity with which MarijuanaSX Bonds Ltd (MarijuanaSX) has entered into any agreement or contract for the supply of services, including through the MarijuanaSX website. A Customer shall also be responsible for the use of the MarijuanaSX website by any subsidiaries, affiliates, partners, Authorized Staff, suppliers, clients, or any other person gaining access to the MarijuanaSX website in any manner whatsoever, that directly or indirectly utilize the MarijuanaSX website provided to the Customer.

The Customer may only use the MarijuanaSX website for lawful purposes. The use of the MarijuanaSX website in violation of any local or international legislation or regulation is prohibited. This includes, but is not limited to, transmission of proprietary or copyright material without the consent of the owner, material legally judged to be threatening, offensive, or obscene, and third party material protected by patent, trade secret or any other type of intellectual property right, whether or not the Customer was aware of the content of the material or of the relevant law.

MarijuanaSX will fully co-operate with investigations of suspected criminal violations and violations of systems or network security under the leadership of law enforcement authorities.

Use of any information obtained via the MarijuanaSX website is at Customers' own risk. MarijuanaSX is not responsible for the accuracy, quality, or content of information obtained through the MarijuanaSX website and or services.

All MarijuanaSX services are for end-user use only and may not be resold to third-parties without providing end-user information to MarijuanaSX.

The Customer will indemnify and hold MarijuanaSX harmless from any claim brought by third parties alleging that use of the MarijuanaSX website by the Customer has infringed any applicable local or international legislation or regulation. The Customer shall defend and pay all costs, damages, awards, fees (including reasonable legal fees) and final judgments awarded against MarijuanaSX arising from such claims. The Customer shall immediately give MarijuanaSX written notice of any claim the Customer is involved with or aware of. Should the Customer fail to do so, MarijuanaSX may defend such claims at the Customer's sole cost.

MarijuanaSX will cooperate with any law enforcement authorities having jurisdiction to discourage and resist abuses of acceptable use policies. MarijuanaSX reserves the right to take corrective action upon notification to MarijuanaSX of unacceptable use by the Customer. MarijuanaSX reserves the right, at its discretion and without notice, to remove any material or data and to block the use of the network for one or more users.

The Customer may not circumvent user authentication or security of any host, network, or account (referred to as "cracking" or "hacking"), reverse engineer, decompile, deconstruct any programming, nor interfere with service to any user, host, or network (referred to as "denial of service attacks").

The Customer is forbidden to send e-mail to any person who does not wish to receive it. It is explicitly prohibited to send unsolicited bulk mail messages ("junk mail" or "spam") of any kind (commercial advertising, financial and investment promotions, political tracts, announcements, etc.) or to post the same or similar messages to large numbers of newsgroups (excessive cross-posting or multiple-posting, also known as "USENET spam"). A Customer caught spamming on the MarijuanaSX, or who persist in the mass distribution of unsolicited e-mail messages, will be dealt with immediately in accordance with this AUP.

The MarijuanaSX website may be used by the Customer to link into other networks worldwide and the Customer agrees to conform to the acceptable use policies of these networks. The Customer agrees, through its own operations, not to cause disturbances, outages or other problems which may affect MarijuanaSX's network or network based equipment, or which may adversely affect MarijuanaSX's ability to provide services.

MarijuanaSX reserves the right to prohibit activities that violate this AUP or may damage its reputation.

MarijuanaSX will generally not monitor private electronic mail messages sent or received by its Customers but may conduct reasonable investigation of a Customer (i) if required by law or (ii) upon reasonable suspicion of a violation of this AUP to determine if there has been a violation or (iii) when public safety may require it. MarijuanaSX may at all time monitor usage of the MarijuanaSX website electronically to determine if it is operating satisfactorily.

MarijuanaSX may disclose its Customers' information or information transmitted by means of its facilities (i) to comply with legal requirements or (ii) where necessary to protect MarijuanaSX and others from harm or (iii) where such disclosure is necessary to the proper operation of the MarijuanaSX website.

The Customer acknowledges that MarijuanaSX is unable to exercise control over the content of information passing through its facilities or carried as a result of supplying the MarijuanaSX website and is therefore not responsible for that content.

MarijuanaSX reserves the right, at its discretion and without notice, to automatically filter, disconnect and/or deny access to any Customer who violates this policy. This remedy shall also be applied when the Customer has engaged in any of the foregoing activities by using the service of another provider and, channelling such activities through an MarijuanaSX account, re-mailer, or otherwise through the MarijuanaSX website, or using an MarijuanaSX account as a mail drop for responses or otherwise using the services of another provider for the purpose of facilitating the foregoing activities, if such use of another party's service could reasonably be expected to adversely affect the MarijuanaSX website. MarijuanaSX reserves the right, where feasible, to implement technical mechanisms which block multiple postings as described above before they are forwarded or otherwise sent to their intended recipients.

Violation of this AUP (direct or indirect, including by a third party) entitles MarijuanaSX to remove immediately the offending material, establish immediate or temporary filtering, deny access, suspend or terminate one or more subscriptions to the MarijuanaSX website, or take any other appropriate action, as determined by MarijuanaSX in its sole discretion, in addition to any remedies provided by any agreement to provide access to the MarijuanaSX website. MarijuanaSX may give notice of violations but MarijuanaSX reserves the right to act without notice when necessary, as determined by MarijuanaSX in its sole discretion. Nothing in this AUP is to be construed to limit MarijuanaSX's actions or remedies in any way with respect to any of the foregoing activities, and MarijuanaSX reserves the right to take any additional actions it may deem appropriate with respect to such activities, including without limitation, taking action to recover the cost of identifying offenders and terminating their access to the MarijuanaSX website, and charging to cover MarijuanaSX's costs in the event of such termination of access or like situation. MarijuanaSX may co-operate with other service providers to discourage and resist abuses of acceptable use policies. MarijuanaSX reserves the right to take corrective action upon notification to MarijuanaSX of unacceptable use on other networks. The MarijuanaSX website may be linked to other networks world-wide and the Customer agrees to conform to the acceptable use policies of these networks. The Customer agrees, through its operations, not to cause disturbances, outages or other problems which may affect MarijuanaSX's or any other network or network based equipment, or which may adversely affect MarijuanaSX's ability to provide access to the MarijuanaSX website.

Nothing contained in this AUP shall be construed to limit MarijuanaSX's actions or remedies in any way with respect to any of the foregoing activities, and MarijuanaSX reserves the right to take any and all additional actions it may deem appropriate with respect to such activities, including without limitation, taking action to recover the costs and expenses of identifying offenders and removing them from the MarijuanaSX website, and levying cancellation charges to cover MarijuanaSX's costs in the event of disconnection of dedicated access for the causes outlined above. In addition, MarijuanaSX reserves at all times all rights and remedies available to it with respect to such activities at law or in equity.

Customer will indemnify and hold MarijuanaSX harmless from any claim brought by third parties relating to the Customer's use of the MarijuanaSX website. The Customer must defend and pay all damages and costs (including legal fees) arising from such claims. The Customer must immediately notify MarijuanaSX of any claim or potential claim, within the Customer's knowledge, involving the Customer related to the MarijuanaSX website. Failure to do so gives MarijuanaSX the right to defend such claims at Customer's sole cost and expense.

MarijuanaSX is committed to providing quality service to all of its Customers. While the AUP may appear harsh, MarijuanaSX believes it is necessary to ensure that it is able to provide professional, efficient, stable service within an environment of security and trust which its Customers may require and come to expect from an organization such as MarijuanaSX.

MarijuanaSX (“MSX”) allows securities to be listed via The Startup Stock Exchange ("SSX”), under a Joint Venture Agreement (“JV”) between the parties. SSX provides securities exchange related services, such as Brokerage and Listing Advisory, enabling the owners of startups and small businesses to attract qualified global investors to buy shares of their companies on a public stock exchange, the Dutch Caribbean Securities Exchange N.V. ("DCSX"), thereby providing access to a regulated and transparent marketplace for all participants.

SSX Advisors Corp is a licensed Listing Advisor and SSX Brokers NV is a licensed broker, of the Dutch Caribbean Securities Exchange N.V.
